Vendor Terms and Conditions

1. Introduction:

When you, as a vendor, decide to enroll and attach your vehicle(s) to the RedTaxi platform, its important to fully understand the terms and conditions that govern this relationship. These terms ensure that both parties—RedTaxi and you as the vendor—are clear on expectations, responsibilities, and the legal framework within which you will operate. Here's a comprehensive description of the terms and conditions typically involved in this process

2. Definitions:

The following terms have the following definitions in this Agreement:

• 2.1 The term 'Vendor" or "Users" or "You" refers to a person who registers and uses the Application in order to attach the vehicles for taxi services.
• 2.2 The term "Passenger" or "Customer" refers to someone who makes a taxi service request through the Application.
• 2.3 The term "Driver" refers to someone who took a cab from you.
• 2.4 The term "Application" or "App" or "Portal" refers to the RedTaxi application for drivers.
• 2.5 The term "Clients" refers to someone who makes a service, independently with drivers
• 2.6 The term "Company" refers to RedTaxi.

3.Vendor Terms and Conditions Coverage

By accepting the Vendor terms and conditions, you also agree to follow the RedTaxi Policies and Agreement These documents, along with these terms, make up the whole agreement between you and RedTaxi.Additionally, for attachment and background checks, you agree that RedTaxi can collect, store, and share information from your Aadhaar and PAN card with Third Party Vendors or Government Authorities

4. Outline of Services:

You understand and agree that RedTaxi only serves as a marketplace for managing and operating the Portal through its platform. According to RedTaxi's preferences, the portal assigns the trip to the driver, but RedTaxi is not responsible for the payment between the customer and the driver The RedTaxi vendor app displayed trip information, including split up, taxes, and other details.

Driver login / logout, offline / online, Bid rejections and blocks, Document Expiry, Last Trip,Meeting reminders, Vehicle & Driver inspection, Pick rejections,missed driver enrollment meetings, driver changes to another vendor, and driver number changes are all driver activities that will be notified to the vendor if they select the option in the application's settings menu.

However, by selecting the For hire option on the driver appt the driver is able to provide services to clients independently. If the driver provides services directly to clients, RedTaxi assumes no responsibility or obligation under the terms of these agreements. RedTaxi makes no warranties or representations about the quality of service provided by your driver.

5. Vendor Registration and Eligibility

• 5.1 Age and Legal Capacity:You must meet the minimum age requirement and have the ability to make legal agreements under the law.
• 5.2 Documentation: You must upload clear and valid documents for yourself and your vehicle(s). This includes your Aadhaar card, PAN card, bank Passbook or Bank cheque, vehicle registration, vehicle insurance, fitness certificate (FC), vehicle permit, and photos of your vehicle from the front, back, and top.
• 5.3 Compliance: Your vehicle must meet all required local and national laws. This covers rules about safety, how much pollution the vehicle can emit, and general operational guidelines to make sure it's safe and legal to drive.

6. Vehicle Requirements:

6.1 Condition and Maintenance:

• Tobe part of the RedTaxi platform, your vehicle needs to adhere to specific standards set by the company These standards focus on ensuring that the vehicle is safe, looks good, functions properly, and is well-maintained.
• Specifically, your vehicle should not be more than 5 years old, must pass safety inspections regularly, and should match the aesthetic guidelines that RedTaxi has set.
• This could include cleanliness, repairs, and general upkeep to ensure the vehicle is in top condition for passenger comfort and safety.

6.2 Branding:

• It's important for vehicles associated with RedTaxi to clearly display the company's branding. This includes placing specific stickers on the vehicle and adhering to color specifications, such as having a red roof.
• These branding elements make it easy for passengers to identify your vehicle as a part of the RedTaxi service, fostering a sense of trust and brand recognition.

7. Operational Standards:

7.1 Driver Conduct:

• As a vendor, it is your responsibility to ensure that all drivers operating under your account comply with RedTaxi's code of conduct.
• This code is vital for maintaining high service standards and includes key aspects like professionalism, respect for passengers, adherence to traffic laws, and maintaining vehicle cleanliness.
• Ensuring that drivers uphold these standards is crucial for maintaining the integrity and reputation of the RedTaxi service.

7.2 Training:

• RedTaxi requires you and your drivers to participate in and complete training programs it offers.
• These training sessions are intended to ensure that everyone involved is familiar with the Application demo, has the necessary knowledge to provide high-quality service, and follows all RedTaxi operational procedures.

7.3 Availability:

• By agreeing to the terms with RedTaxi, you commit to making your vehicle(s) available for bookings via the RedTaxi application according to a pre-agreed schedule.
• Your vehicle should be ready and available for passengers as per the schedule you set, ensuring that you meet the demand and service expectations of RedTaxi customers.

8. Financial Terms:

8.1 Fees and Payments:

• As a vendor on the RedTaxi platform, you are required to understand and meet several financial obligations.
• These include the payment of rental fees for using the platform, applicable taxes as determined by law, and any penalties that might be imposed for interruptions in service or failure to adhere to the terms of the agreement.
• This financial structure ensures that RedTaxi can maintain high-quality service and support for its vendors.

8.2 Billing and Invoices:

• Managing your financial relationship with RedTaxi involves being prompt and accurate in settling any fees you due.
• This includes service fees that cover the ongoing use of the RedTaxi platform and its services.
• RedTaxi will provide a clear and detailed breakdown of all charges, the methods available for payment, the billing cycles, and the deadlines for each payment.

9. Insurance and Liability:

9.1 Insurance Coverage:

• As a vendor on the RedTaxi platform, it's essential that you keep valid insurance coverage for each vehicle that you enroll.
• This insurance must not only meet but ideally exceed the minimum requirements set by local laws. The coverage should be comprehensive, protecting against accidents, damages, and other potential liabilities.
• This thorough insurance protection is crucial as it safeguards both you as the vendor and RedTaxi as the company from facing significant financial burdens in the event of mishaps.

9.2 Incident Reporting:

• Alongside maintaining proper insurance, you are also required to report any accidents or legal issues involving your vehicles or drivers immediately to RedTaxi.
• This obligation is critical as it allows for a quick response from RedTaxi to address and mitigate any further risks or complications that might arise from such incidents.

10. Intellectual Property:

As a vendor on the RedTaxi platform, you are allowed to use RedTaxi's intellectual property, such as trademarks, branding materials and Software, only as needed for your services on the platform.

RedTaxi retains ownership of all its intellectual property and its use is strictly limited to approved purposes. This helps protect RedTaxi's brand and ensures a consistent customer experience.

11. Company Obligations:

• 11.1 As the Application Provider, we agree to fulfill several obligations to ensure the smooth operation and satisfaction of Vendors, Drivers, and Passengers.
• 11.2 Our primary responsibility is to furnish a reliable platform that facilitates the connection between Drivers and passengers, fostering a smooth and efficient ride-sharing experience.
• 11.3 Recognizing the importance of effective communication, we are dedicated to offering comprehensive vendor support to address any queries or concerns raised by both Vendors and Drivers.
• 11.4 In the event of complaints, we pledge to conduct thorough investigations and resolve issues promptly, emphasizing our commitment to maintaining a trustworthy and customer-centric platform.

12. Termination and Suspension:

The terms under which a vehicle owner's contract can be terminated or suspended, including any breaches of these terms, changes in business needs, failure to maintain standards, or legal issues that impact the partnership.

• 12.1 Breach of Terms: The agreement can be terminated by RedTaxi if you fail to comply with the terms and conditions, with specifics provided regarding notice and the opportunity to remedy any breaches.
• 12.2 Voluntary Termination: You may terminate your agreement with RedTaxi by completing the terms listed below.

• Stickering Paint Removal
• Pending invoices/receipts.
• Pending Verification Documents
• Pending Payout Requests
• Active/Blocked Cabs
• Active/Blocked Drivers
• Pending Applications

If you have already sold your vehicle, you must provide written notice for the termination. Upon termination, you agree to immediately cease providing services through the RedTaxi platform.

13. Amendments to Terms:

RedTaxi maintains the authority to adjust or update the terms and conditions of its agreement with you at any time. This is an essential aspect of their operational flexibility, allowing the company to respond effectively to new legal requirements, changes in market conditions, or shifts in business strategy.

14. Confidentiality:

You agree to maintain the confidentiality of any proprietary information, technology, or trade secrets provided by the Company.
This obligation of confidentiality continues even after the termination of your enrollment.

15. Mitigation of Legal Risks:

You promise to cover and defend the Company, its affiliates, officers, directors, employees, and agents from any problems that might come up because of how you use the service. If you break the rules or fail to follow the terms, you agree to take responsibility for any negative outcomes.

• Your violation of this Agreement

16. Governing Law:

This Agreement is governed by and constructed in accordance with the laws of Motor Vehicle Act, 1988. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts.

17. Acknowledgement:

By enrolling as a Vendor in the RedTaxi, you acknowledge that you have read, understood, and agree to abide by these terms and conditions.

The above mentioned terms and conditions of use and the Privacy Policy constitute the entire agreement between the User(s) and Red Taxi with respect to access to and use of the web site and the Services offered by Red Taxi, superseding any prior written or oral agreements in relation to the same subject matter herein.
